Books of Life shall not proceed with any project until Client has approved the estimate and delivered the initial payment of 50% of the estimated project cost.

Estimates are based on details provided to Books of Life by the Client that are particular to the project. Any changes to the scope, requirements, assumptions or dates may require revisions to the estimate. A pause in a project that exceeds 4 weeks or more may incur a fee to cover time required to reactivate the project.

Each book project includes one selection review and one layout review and revision. Additional reviews/revisions, or any changes that are requested following key approval points may result in a shift of project dates and revision of related project costs.

Books of Life will work diligently and efficiently on the agreed upon projects. As the scope of projects varies, and unknown variables may arise during the course of a project, the Client acknowledges that efforts may exceed the estimated hours.

Books of Life shall supply to Client a written invoice for a project deposit and then for the balance of the book upon layout approval. Payments are due immediately upon receipt of the invoice. Delayed payments may result in a corresponding pause in Books of Life project efforts. A 3% fee is incurred with all credit card payments.

Client certifies that they are either the owner or a licensee of all photography, artwork or other assets to be used in connection with the product(s) being sold to them for non-commercial use by Books of Life. Signing this Agreement authorizes Books of Life to use these assets in connection with the project and certifies that doing so will not constitute a violation of any applicable copyright laws.

Books of Life and Client each agree to indemnify and hold the other party harmless from any and all actions, causes of action, claims, demands, costs, liabilities, expenses and damages (including attorneys’ fees) arising out of, or in connection with any claim that the deliverables, including any materials provided to Books of Life by Client, infringes any copyright, patent, trade secret, trademark, or other legal right of any third party.

Nothing in this Agreement confers on Books of Life any right of ownership in the Client Materials. Books of Life represents and warrants that to the extent it receives Client Materials, it will only use Client Materials in accordance with any project and will not use Client Materials for any other purpose without the prior written consent of Client. Books of Life will not share or sell any images or other Client Materials for any purpose.

Unless otherwise specified in writing, Books of Life retains the right to use images and descriptions of final projects for publicity and promotional purposes, retracting Client names and other personally identifying details.

Books of Life will exert best efforts to maintain and store all digital book projects for reprints to be ordered at a later date, but cannot guarantee availability past 6 months from final book delivery. For any Reprints ordered more than 1 month past the delivery date of the original book project, Clients will be charged $150 fee to extract the necessary files from archives and prepare them for reprinting. Books of Life is under no obligation to store or archive original assets provided by the Client past the date the book is delivered. Per a Clients request, Books of Life will provide a PDF version of the book file, photos featured and scanned assets.

Books of Life will make every reasonable effort to safeguard all Client materials during the organizing and scanning process, but will not be responsible for items damaged, nor held liable for any other results of any work done during or after such sessions. All non-digital Client materials should be picked up from or returned to Client from the Books of Life offices within one week after organization and scanning is completed. Books of Life will not be liable for loss, damage, theft or other maintenance of Client materials that remain in their offices beyond that date.

Books of Life will keep confidential all Client information and will use proprietary Client information only with the Client's express written permission.

Client may terminate any project and cancel Books of Life’s services at any time without cause and without further obligation to Books of Life except for payment due for services performed prior to the date of such termination. Books of Life may also terminate a project at any time without cause. Deposit funds not used will be reimbursed to a client upon notice of cancellation.

These Terms and Conditions supersede any and all previous written or oral agreements or discussions between Books of Life and Client, and any other person or legal entity concerning the transactions contemplated herein, and shall not be amended or modified except by an agreement in writing signed by all of the Parties.
